Terms of Service

1. Acceptance of Terms

By accessing or using the OwndUp platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

OwndUp is a multi-tenant software-as-a-service (SaaS) responsibility ledger. The Service enables organisations to track ownership of assets, tools, and contracts. Key features include:

  • Responsibility ledger — every item always has exactly one owner.
  • Accept-to-own transfers — ownership changes require explicit acceptance by the receiving party.
  • Renewal tracking — automated reminders for contracts and licences approaching their renewal date.
  • Audit trails — a complete, immutable log of all ownership changes and actions.
  • Offboarding gates — ensure departing team members have transferred all responsibilities before their account is deactivated.

3. Account Registration

Each sign-up creates a single organisation account. The person who registers becomes the organisation administrator and may invite additional team members. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@owndup.com if you suspect any unauthorised use of your account.

4. Subscription Plans & Billing

OwndUp offers the following subscription plans:

  • Trial — 14 days of full access, no credit card required.
  • Starter — up to 500 items and 50 users.
  • Growth — unlimited items and unlimited users.

Paid plans are billed monthly or annually via Stripe, Inc. Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. Upon cancellation, you retain access to the Service until the end of the current billing period. No refunds are issued for partial billing periods. We reserve the right to change pricing with 30 days' prior notice; price changes take effect at the start of the next billing cycle.

5. User Roles & Responsibilities

The Service supports three user roles:

  • Admin — manages organisation settings, billing, user invitations, and has full access to all features.
  • Manager — can manage items, initiate transfers, and view audit trails within their scope.
  • Member — can view and manage items assigned to them and accept or reject incoming transfers.

The organisation administrator is responsible for configuring roles and permissions appropriately. Each user is responsible for the items they own and for responding to transfer requests in a timely manner.

6. Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. In particular, you may not:

  • Use the Service for any illegal activity or to store illegal content.
  • Attempt to gain unauthorised access to other accounts, systems, or networks connected to the Service.
  • Scrape, crawl, or use automated means to extract data from the Service without prior written consent.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Circumvent, disable, or otherwise interfere with security features of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. All data entered into the Service by users belongs to the organisation that owns the account. Organisation administrators may export their data at any time using the built-in export functionality. After cancellation of a subscription, we retain your data for 60 days to allow for reactivation or export, after which it is permanently deleted.

8. Intellectual Property

The Service, including its original content, features, functionality, branding, and underlying source code, is and remains the exclusive property of OwndUp and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You retain full ownership of any data you enter into the Service. Nothing in these Terms transfers ownership of your data to OwndUp.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. No formal service-level agreement (SLA) is provided. We may perform scheduled maintenance that temporarily affects availability and will endeavour to provide advance notice where possible. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice to affected users.

10. Limitation of Liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by applicable law, OwndUp's total liability for any claims arising from or related to the Service shall not exceed the total fees you paid to OwndUp in the twelve (12) months preceding the event giving rise to the claim. In no event shall OwndUp be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the account settings or by contacting us at hello@owndup.com. OwndUp may suspend or terminate your access immediately if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties. Upon termination, you have 60 days to export your data before it is permanently deleted.

12. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service before they take effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict-of-law provisions. Any disputes arising from or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
